Base pay range $120,000.00/yr - $130,000.00/yr

Location: San Francisco, Los Angeles, Denver (Hybrid) or Remote
We are looking for a Paralegal with experience in emerging companies, venture capital, or startup law to support growing client base and fast-moving legal teams. You will work 1:1 with a dedicated attorney and help support high-growth clients through all stages of formation, financing, and corporate governance.
What You’ll Do
Support attorneys in representing early-stage tech companies and venture capital firms
Draft and manage corporate formation documents, stock purchase agreements, board consents, and investor rights agreements
Prepare and maintain capitalization tables, option plans, and related documents
Coordinate closings for venture financings, SAFE and convertible note transactions
Handle regulatory and compliance filings (e.g., Delaware, IRS, FinCEN BOI)
Maintain corporate minute books, organizational charts, and entity records
Assist with due diligence, document organization, and closing binders
Serve as a point of contact for clients on routine legal and operational matters
What We’re Looking For
2+ years of experience as a corporate paralegal in the ECVC space or in-house at a startup
Familiarity with startup corporate structures, venture financings, and cap table management
Excellent attention to detail, project management skills, and the ability to thrive in a fast-paced environment
Strong communication skills and a client-first attitude
Experience using Carta, Pulley, LTSE Equity, or similar platforms a plus
Bachelor’s degree or paralegal certification preferred
Salary and Other Compensation:
The annual salary for this position is between $128,000 – $138,000 annually . Total compensation with all bonuses sums upto $164,000 - $194,000 annually . Factors which may affect pay within this range include geography/market, skills, education, experience, and other qualifications of the successful candidate.
