Candidate Profile JD from a top-tier law school with an excellent academic record . Active Bar Admission in California , in good standing. 4+ years of substantive experience advising venture-backed companies , institutional investors , and emerging growth companies . Demonstrated experience with venture capital financings , M&A transactions , and a broad range of corporate governance and day-to-day operational issues . Proven ability to manage multiple workstreams, interact confidently with clients, and deliver high-quality work product under tight deadlines. Prior experience at an AmLaw 100 firm is strongly preferred . Soft Skills: Excellent analytical, writing, and negotiation skills, attention to detail, and the ability to work independently as well as collaboratively. Key Responsibilities Represent emerging growth companies , venture capital firms , and strategic investors in connection with financing transactions , M&A , and general corporate matters. Provide counsel on entity formation , capitalization , corporate governance , and strategic transactions . Draft and negotiate term sheets , stock purchase agreements , convertible notes , SAFEs , and ancillary deal documentation . Collaborate with attorneys across practice areas, including IP, employment, and tax, to support startups at every growth stage. Develop and maintain strong client relationships by delivering proactive, solution-oriented legal guidance.
