Summary Under the supervision of attorneys, performs a range of substantive case, matter or entity related duties. Prepares drafts of legal and other documents and correspondence for attorney review. Compiles, analyzes and summarizes information. Coordinates efforts between attorneys, clients, outside legal counsel, opposing legal counsel, other parties and outside vendors. Location This position is located in our Washington D.C. office and offers a hybrid work schedule. Responsibilities Corporate: Formation of entities Obtaining Employee Identification Numbers (EINs) Drafting organizational documentation, including bylaws, resolutions, and stock certificates Corporate maintenance, including resolutions, consents, annual reports, franchise taxes Conduct Blue Sky research, including preparation of memoranda (state securities exemptions) Filing of Form Ds with the Securities and Exchange Commission Prepare and file Form IDs and Powers of Attorney with the Securities and Exchange Commission Prepare Forms 3, 4 and 5 and arrange for filing with the Securities and Exchange Commission Assist with various Securities and Exchange Commission filings Assist with various tasks when a company goes public Facilitate apostille and legalization requests, including virtual notarization associated therewith Assist with various due diligence tasks Prepare signature packets Assist with company rationalization projects Draft closing checklists, agendas, and documents Preparing closing binders and addressing post-closing issues Assist with securities filings associated with employee benefit plans and executive compensation Prepare company grants Update stock ledgers and process various requests in Carta and SharePoint Draft IRS related documentation Requesting IRS determination letters Draft correspondence/communications to clients Perform litigation and lien searches, including UCC Prepare and file UCC financing, termination, continuation, and amendment statements Desired Skills All Paralegal Specialist Positions; Advanced knowledge and solid understanding of practice area processes, procedures, rules and regulations. Conducts fact gathering and analyzes information. Strong writing skills and ability to draft complex legal documents. Excellent verbal, written and interpersonal skills required to interact with staff, paralegals, attorneys and clients on a daily basis. Solid technical skills necessary to set-up, track and maintain matters. Responsibilities will include assisting attorneys in your home office and in offices across the firm. Must be able to manage large volumes of documents and data in order to review, organize and maintain document databases and spreadsheets. Ability to locate and research information applicable to a particular matter, person, regulation, transaction, through online research, document review and due diligence. Anticipates needs of attorneys and exercises sound independent judgment. Possesses advanced knowledge of practice area rules and procedures. Must be able to identify interrelationships among cases, statues, regulations and other legal authorities. Has a complete understanding of the interdependence of the Firm’s practice groups. Excellent organizational skills required along with ability to handle multiple projects and assignments at once. Demonstrates initiative and strong analytic abilities on a daily basis. Ability to work effectively in a fast-paced environment. Mentors case assistants, paralegals and junior associates. Corporate; Excellent organizational and multi-tasking skills. Understanding of relevant sections of Securities Act of 1933, the Securities Exchange Act of 1934, the California Corporations and the Delaware Corporations Code. Must be able to draft by-laws and prepare stock certificates and assist with Blue Sky research and prepare initial draft of Blue Sky Memorandum. Must have solid understanding of corporate capitalization. Minimum Education Bachelor's Degree and/or Paralegal Certificate. Minimum Years of Experience 10+ years Paralegal experience in a specific practice area of law. Position is responsible for handling substantive projects and cases under the direction of a lawyer. Has substantial expertise in practice area equal to or beyond what would be expected of a junior associate; generally performs with a little supervision. The firm’s expected hiring range for this position is $59.63 - $79.01 per hour depending on the candidate’s geographic market location. The compensation offered for employment will also be dependent on other factors including the candidate’s experience, skills, educational and professional background, and overall qualifications.
