This role reports to the General Counsel of Advantest America, Inc. and will primarily support internal business units by drafting, reviewing, negotiating, and advising on a variety of commercial contracts, licensing, and technology-focused agreements. The role involves ensuring legal compliance and protecting the company's interests in accordance with established processes and policies, serving multiple internal clients efficiently.
The ideal candidate is a critical thinker, flexible, and a self-starter with strong creative problem-solving skills. They should be able to work cross-functionally and in a timely manner, both independently and collaboratively with a global legal team, in a fast-paced, growing semiconductor testing, R&D, sales, and manufacturing environment. Must be licensed to practice law and in good standing in a US state, with a preference for those licensed in California or eligible as CA Registered In-House Counsel.
This is a full-time position based primarily at Advantest America, Inc.'s headquarters in San Jose, CA, with an expectation of working in-office approximately three days a week. Alternative work locations within the western US may be considered, but preference is given to those able to work from San Jose. Occasional evening and weekend hours may be required for international collaboration.
Specific Responsibilities
Draft, review, and negotiate agreements related to equipment, engineering sales and services, software, technology development, licensing, and other company transactions.
Review contractual terms, including liability limitations, IP indemnities, license grants, and warranties, ensuring alignment with company policies.
Interpret and clarify contract terms for internal clients and external parties.
Advise on legal and compliance issues related to contract requirements.
Participate in legal education, design, and implementation as assigned.
Conduct legal research and provide counseling on contractual, compliance, and IP matters.
Coordinate with subsidiaries and global teams within the Advantest Group.
Perform other related duties as needed.
Requirements
Juris Doctor (JD) from an accredited US law school; active, good standing license to practice law in a US state, preferably California.
8+ years of relevant legal experience, including law firm and/or in-house roles, with familiarity in the matters described above. Experience in a multinational technology company is highly preferred.
Substantive expertise in commercial transactions involving technology equipment, engineering services, software licensing, and IP rights.
In-house experience in the semiconductor or related technology industries is a plus.
Strong organizational skills, attention to detail, and high ethical standards.
Professional discretion, good judgment, proactive attitude, and reliability.
