About The Role We are seeking a highly skilled Private Equity Paralegal to support our corporate legal team in executing complex private equity and venture capital transactions. This role involves working closely with attorneys, investment professionals, and clients to manage deal documentation, due diligence, and entity governance throughout the investment lifecycle. The ideal candidate has deep experience with private placements, fund formations, mergers & acquisitions, and corporate governance, and thrives in a fast-paced, deal-driven environment. What You’ll Do Lead and support private equity and venture capital transactions by assisting attorneys with formation, organization, and maintenance of private equity funds, portfolio companies, and related entities. Prepare, review, and file corporate documents (e.g., certificates of formation/incorporation, resolutions, operating agreements, partnership agreements). Support private placements and other securities offerings by drafting and reviewing investor subscription documents, confidentiality agreements, and closing checklists. Conduct and coordinate due diligence on target companies, compile data rooms, and summarize key findings. Manage closing logistics for transactions, including coordinating signatures, tracking deliverables, and preparing closing binders. Maintain detailed entity records, capitalization tables, and minute books. Support attorneys with regulatory filings (e.g., Form D, UCC filings, Blue Sky compliance). Collaborate with investment and finance teams to ensure documentation accuracy and compliance with firm policies. Assist in managing ongoing governance and investor relations for portfolio entities. Qualifications Bachelor’s degree or equivalent experience required; Paralegal Certificate preferred. Minimum 5 years of corporate or transactional paralegal experience, with at least 2 years focused on private equity, venture capital, or securities law. Strong understanding of entity structures, capital tables, and equity instruments. Proficiency with legal document management systems and Microsoft Office Suite. Excellent attention to detail, organizational skills, and ability to manage multiple complex transactions simultaneously. Exceptional written and verbal communication skills and professional demeanor. Ability to work independently while maintaining collaboration within a team-driven culture. Preferred Experience Prior work at a law firm, fund, or financial services organization supporting private equity or venture capital clients. Experience with DocuSign, Carta, or equity management software. Familiarity with subscription agreements, limited partnership structures, and LP/GP frameworks.
