Job Details
We are seeking an experienced and motivated Director to join our M&A tax practice. This individual will play a key leadership role in managing complex transactions, advising clients on structuring and tax diligence issues, and mentoring a growing team. You will work directly with clients and firm leadership, bringing both technical expertise and a commercial mindset to the table.
Key Responsibilities
Lead and manage tax due diligence for buy-side and sell-side transactions involving private equity firms and portfolio companies. Advise on tax-efficient structuring of transactions, including blocker and flow-through planning, step-ups in basis, Section 754/743(b) issues, Section 1202/1244, and 338(h)(10)/336(e) elections. Collaborate with investment teams and legal counsel on deal modeling and structuring considerations. Identify and communicate key tax risks, exposures, and planning opportunities to clients in a clear, concise, and commercial manner. Oversee preparation and review of detailed tax reports and client deliverables. Mentor and develop junior team members, fostering technical development and client service excellence. Support post-close initiatives such as purchase price allocation, legal entity integration, and tax attribute planning. Maintain strong client relationships and actively participate in business development efforts.
Qualifications
Bachelor’s degree in Accounting, Finance, or related field; CPA or JD required. At least 8+ years of relevant tax experience, including significant exposure to M&A tax in a public accounting, law firm, or boutique advisory setting. Deep knowledge of PE, partnership and corporate tax law, tax due diligence, and structuring. Strong project management and leadership skills. Excellent written and verbal communication abilities. Entrepreneurial mindset and ability to thrive in a fast-paced, high-autonomy environment.
