The Senior Counsel, Corporate & Securities position reports to the Deputy General Counsel. We are seeking an attorney with experience in corporate and securities matters for public companies, as well as experience with debt financing, corporate entity management, M&A and related matters. The ideal candidate will have experience handling public company securities matters and has been closely involved in the drafting and revision of ’33 Act and ’34 Act filings. Responsibilities include coordinating and supporting SEC reporting and compliance activities, assisting with preparation and review of press releases and investor materials, acting as liaison with the company’s transfer agent, coordinating annual stockholders' meeting activities, supporting debt financing activities, assisting with corporate development transactions, managing corporate governance matters, developing process efficiencies, providing training, and performing other corporate duties as assigned. Qualifications include a law degree, current state bar membership, 3-5+ years’ experience with SEC compliance, M&A and corporate governance, experience advising U.S. multinational corporations, strong communication skills, and responsiveness.
