Overview Associate General Counsel role within Banesco USA's Legal Department. The position supports across Credit, Corporate, Commercial and Retail Banking, Corporate and Residential Lending, Operations, Loan Closing and Loan Operations, Compliance, Risk, IT, Business Transformation, Human Capital, Information Security and Marketing. Responsibilities Respond to subpoenas, including review and production of documents, and manage legal process matters. Draft and negotiate all types of agreements and instruments, including customer facing agreements, loan and credit agreements, pledge and security interest agreements, participation and syndication agreements, loan sale and purchase agreements, commercial and standby letters of credit, forbearance agreements, vendor and consultant agreements, leases, employment agreements, policies and procedures. Provide wide ranging legal advice and services to support various functional areas and lines of business as described above. Perform other functions and/or duties as assigned to ensure the Bank’s activities comply with applicable laws and regulations, including banking laws, Federal and state laws, fiduciary duties, BSA/AML. Review proposed new or modified products, businesses, practices and procedures; perform due diligence; identify and mitigate legal and regulatory issues and risks. Collaborate with external counsel to proactively manage litigation, transactional and regulatory matters. Assist the General Counsel and take on responsibilities as requested; perform other duties as assigned. Complete annual training program assigned. Qualifications Education: JD from an accredited institution. Experience: Five (5) years minimum in the Legal Department of a financial institution or law firm financial services practice. Current membership in good standing with a state Bar Association; Florida bar membership required or in due course. Strong knowledge of banking/commercial matters related to compliance, contracts, lending transactions, fiduciary duties, consumer, data privacy, subpoenas and legal proceedings, litigation management and corporate governance. Excellent research skills. Must be bilingual in English and Spanish; ability to fluently speak, understand, read and write both languages. Strong verbal and written communication skills; ability to communicate at all levels of the organization. Strong attention to detail and accuracy; ability to multi-task with strong organization, time-management, and prioritizing skills. Strong customer service skills; ensuring satisfaction of both internal and external customers. Advanced knowledge of related State and Federal banking compliance regulations and operational policies. Strong problem solving and analytical skills to make determinations for the bank to regulatory offices. Strong presentation skills to various levels of the organization. Advanced knowledge of the bank’s operating activities, terminology and products and services. Advanced computer skills including proficiency in Microsoft Office (Word, Excel, Power Point, etc.).
