Grubhub is seeking a Counsel in our Chicago or New York office. The ideal candidate will be a corporate lawyer with outstanding drafting and negotiating skills, organizational capabilities, attention to detail, execution and follow-through. This person is also a creative problem-solver, a self-starter with a great attitude and a team player.

The Impact You Will Make

As Counsel, you will be a key member of our dynamic legal team, focusing on a wide range of commercial and transactional matters supporting various business verticals, including our campus, corporate, and marketplace initiatives. You will independently manage a diverse workflow, providing pragmatic, business-oriented legal advice. You will draft and negotiate agreements, advise on business strategies and product development, and develop resources to help scale legal support. This role requires exercising sound judgment, taking an ownership mindset, and building strong relationships with internal business clients.

  • Negotiate, structure and draft a wide array of commercial transactions, including complex transactions with merchants, vendors, and franchise, corporate and campus partners, as well as related ancillary agreements (e.g., online terms and conditions, data processing agreements) and routine leases/subleases.
  • Advise business teams developing products to ensure legal compliance.
  • Advise on data privacy and AI governance matters, including reviewing and drafting data processing agreements and ensuring compliance with relevant regulations.
  • Partner with the People Team to provide guidance on employment law matters, such as wage and hour laws, employee relations, and workplace policies.
  • Become proficient in, and advise on, certain compliance matters (e.g., marketplace facilitator requirements, alcohol payment and delivery compliance).
  • Assist in the merchant dispute resolution process.
  • Oversee certain corporate initiatives and entity maintenance; interface with our parent company on intercompany governance and transactional matters
  • Advise on ordinary course inquiries, including merchant, vendor, and diner issues.
  • Develop internal legal playbooks, client-facing guides, FAQs, and other documentation to promote consistency and streamline processes.
  • Assist on other projects as needed, including general corporate matters, and overseeing external counsel.
  • Demonstrate an ability to issue-spot sensitive legal and business concerns, adjust frequently and meet demanding deadlines.

What You Bring to the Table

  • JD degree and admitted to any state bar.
  • 4-6 years of relevant experience, preferably with in-house experience.
  • Strong academic credentials.
  • Experience drafting and negotiating a wide variety of commercial contracts and complex corporate transactions.
  • Experience with data privacy laws and regulations (e.g., CCPA) and an interest in AI governance is strongly preferred.
  • Excellent analytical, communication (oral and written), and interpersonal skills, with keen attention to detail.
  • Demonstrated ability to:
  • Independently manage and prioritize competing projects in a fast-paced environment;
  • Exercise sound legal and business judgment;
  • Learn quickly and tackle challenging new projects;
  • Work autonomously while collaborating effectively within a team; and
  • Issue-spot sensitive legal and business concerns.
  • Must be a team player with a service-first mindset, willing to pitch in where needed.

The base salary for this position is below:

New York: $201,500 - $211,000

Illinois: $181,500 - $190,000

Wonder Group uses geographic-specific salary structures, which means the salary offered may vary depending on where the job is located. The final salary offer will take into account various factors, such as the candidate's skills, education, training, credentials, and experience.
