Responsibilities
Draft, review, and negotiate a wide range of complex commercial agreements, including SaaS, licensing, data sharing, collaborations, resale, and confidentiality agreements.
Structure and negotiate strategic partnerships involving data products, platform access, and cloud-based tools.
Serve as the primary legal liaison to various internal teams such as Sales, Finance, Engineering, and Product.
Lead contract negotiations with pharmaceutical and biotech clients, including academic and international partners.
Develop fallback terms, clause libraries, negotiation playbooks, and approval workflows.
Provide legal review for platform features, marketing, customer onboarding, and data access tools.
Manage legal aspects of data governance, including data mapping, permissions, anonymization, and consent.
Establish internal processes for incident response, breach notifications, and cross-border data flows involving sensitive data.
Advise on compliance with privacy laws such as GDPR, CCPA, HIPAA, and others.
Negotiate Data Processing Agreements, Business Associate Agreements, and data transfer mechanisms.
Support legal response plans for security incidents involving vendor platforms and data security.
Partner with HR on employment law issues, including remote work policies and international hiring.
Provide legal guidance on entity formation, intercompany agreements, and governance for U.S. and international entities.
Manage legal aspects of corporate transactions like M&A, diligence, and post-acquisition integration.
Coordinate with external counsel to ensure legal compliance with business objectives and regulations.
Translate legal risks into business recommendations to maintain flexibility and compliance.
Support board-related activities such as D&O insurance and entity recordkeeping.
Monitor and interpret evolving laws affecting digital health, data use, and AI regulation.
Contribute to building a scalable, cross-functional legal team integrated into the global business.
